The Franchise Agreement and The Promotional Fund with Franchisee Contributions

One of the favorites of franchisee attorneys in class-action lawsuits used to sue the franchisor for misuse of the promotional funds, which the franchisees have contributed to. There are a number of huge cases with large settlements, some of which have nearly bankrupted the franchisee company. It is for this reason that I decided to upgrade the clauses in our franchisee agreement and the information on the promotional fund and its contributions in the confidential operations manual. Here below is a copy of the clauses that I inserted into my franchisee companys franchise agreements; 2.3 Promotional Fund 2.3.1 Franchisee Contributions Franchisee will pay to Franchisor each month as a contribution to a Car Wash Guys System promotional fund (the Promotional Fund), if and when established, one hundred dollars ($100) per calendar month. Promotional Fund contributions are due and payable in full at the same time and in the same manner as continuing royalty fees. Payments of Promotional Fund contributions are not refundable. 2.3.2 Use Franchisor will not commingle Promotional Fund contributions with its general funds, but will hold all Promotional Fund contributions from all its Franchisees in one or more designated accounts. The Promotional Fund may be used as determined by Franchisor: (a) to purchase national, regional, and local advertising in broadcast, print, internet and electronic media; (b) to be used exclusively to meet any and all costs of maintaining, administering, researching, directing and preparing advertising and/or promotional activities (including, among other things, the costs of preparing and conducting television, radio, magazine, newspaper and internet advertising campaigns); direct mail and outdoor billboard advertising; marketing surveys and public relations activities; use of advertising agencies and website developers to assist with projects, website development and maintenance and internet informational and advertising links and promotional brochures, CD-ROMs, video tapes and other marketing materials for the Franchisor. (c) to acquire the services of in-house and outside advertising, public relations professionals and website developers; (d) to carry on other advertising and promotional activities as Franchisor may reasonably deem advisable to increase demand for Services offered by its Franchisees, whether Core Services or Optional Services; and (e) to pay the reasonable expenses of administering the Promotional Fund, including the reasonable compensation of Franchisors employees and expenses of the advisory committee described in Section 2.3.3 (if established by Franchisor) while working on behalf of the Promotional Fund. 2.3.3 Administration The Promotional Fund will be administered by the Franchisor or by an advertising agency selected by the Franchisor. Franchisor, in its sole discretion, may establish a Franchisee advisory committee from time to time to provide input and suggestions regarding use of the Promotional Fund and the effectiveness of programs funded by the Promotional Fund. If the Franchisee advisory committee is appointed, it will consist of representatives of Franchisor and representatives of the Franchisees, with the representatives of Franchisees constituting a majority of the members thereof. Franchisor shall retain sole discretion over the use of the Promotional Fund. 2.3.4 Accounting Franchisor will account to Franchisee annually for all Promotional Fund contributions received and spent. The accounting will be made by written report within ninety (90) calendar days of the end of the year setting forth the total contributions received from all Car Wash Guys System Franchisees as a group and all expenditures made by Franchisor, together with the balance on account in the Promotional Fund as of the date of the report. 2.3.5 Commercial Relationship Franchisor and Franchisee agree that the rights and obligations of the parties arising from the Promotional Fund and all related matters are governed solely by this Agreement, and that this Agreement and the Promotional Fund are not in the nature of a trust, fiduciary relationship, or similar special relationship. By Beth Scott I dont know anything about you but if youre anything like me then you struggle with a weight loss problem. Your weight loss problem consists of you struggling to keep your weight down or struggling to make your weight go down. Most people who see me wouldnt believe that I have a weight loss problem, but I do. Ive battled bulimia and constant gains and losses in weight, of ten pounds each time. Thats what I call a big weight loss problem. A lot of women and men with the same or a similar weight loss problem would sympathize with me Im sure. I want to look good (who doesnt?) so that always motivates me to go on a diet. But after sticking to a diet for a week and dropping the unwanted weight my love for good tasting food overpowers my need to feel attractive and the weight piles back on pound by pound. There is always exercise to help with a weight loss problem, I remind myself as I lie lazily on the couch chomping down on one of my non-diet treats. Sure! I groan I dont feel like wearing my butt out without seeing any results for weeks at a time. Whenever I start a workout regimen I only stick to it for a few weeks (usually less) and then I get bored and drop it. So my weight loss problem continues. How many other women I wondered (or men, for that matter) get bored while exercising? I thought about that for awhile then I set about to find a solution to help all those poor people (and myself too, of course) with this weight loss problem. First I asked myself: What did I like to do? What did I find Interesting? Hmmmm, well I thought I like dancing, but long periods of it are exhausting. I like to read, to listen to music, and I really dislike being on my feet for over long periods of time. What could possibly combine all or most of these to make my exercising interesting and help solve my weight loss problem? The solution to my weight loss problem was amazingly simple! I own an old stationary bike, and I do mean OLD, but the important thing is that it operates. You can do this with any form of stationary bike, whether its a twenty year old model or an up to date model. It doesnt matter whether you own the stationary bike or use a gyms or your local YMCAs or YWCAs facilities. My weight loss problem solution is this: Find something engrossing to read. It could be a novel or your favorite magazine. Or listen to music that you enjoy, you could even use audio books or any different CDs or things you could listen to. I suppose if your bike was somewhere around a television or computer with a DVD player, you could even watch your favorite movie. The next step is to mount your stationary bide and start biking while reading or doing any of the above listed activities, and not to get off for at least 45 to 60 minutes, except for an occasional rest every quarter of an hour. I usually just keep biking away the whole time and sometimes I bike longer because Im so engrossed in what Im reading, and I wont allow myself to read it once Im off the stationary bike. After a week of this, without change in my eating habits, or any dieting, Im maintaining a healthy weight. Best of all Im not putting on any new pounds, and my legs look visibly slimmer. So I’ve kissed my weight loss problem goodbye, and I’m saying hello to slim jeans and size 6 dresses, and you can too. This condition is neither infectious (Do not spread from one person to another) nor does it affect the general health. It affects both the genders and may start at any age. Psoriasis is quite common, affecting around two per cent of the population, although people with very mild symptoms may not be aware they have it. Psoriasis can begin at any age but usually starts either around the age of 20 or between 50 and 60. Causes of Psoriasis As said earlier according to modern medical science the causes of psoriasis are unknown .But the following factors can trigger psoriasis. 1. Heredity - If one parent is affected then there is 15% of chances for the child to suffer from psoriasis. If both the parents are affected then the possibility of child getting the psoriasis is 60%. 2. Throat infections trigger psoriasis. 3. Trauma or hurt on skin like cuts, bruises or burns may cause psoriasis. 4. Some medicines or skin irritants initiate psoriasis. 5. Smoking and alcohol are other two factors which activate psoriasis. 6. Mental stress or psychological trauma may also set off psoriasis What does ayurveda say about psoriasis? Psoriasis is caused by vitiation of vata and kapha dosha. The vitiated doshas affect the skin and blood tissues. They also influence water element of the affected region on skin. Thus the skin which is influenced by affected doshas becomes discolored (white or copper colored), scaly and thin. Causes of vitiation of Doshas 1. Consuming opposite foods. 2. Controlling natural urges. 3. Exposure to severe climatic conditions 4. Consuming food that is too salty, too sour and/or too heavy for digestion. 5. Sleeping during the afternoon. 6. Taking bath in cold water immediately after physical exertion. 7. Mental stress. Changes that occur on skin during psoriasis It takes 27 days for skin to replace itself with new mature skin cells. But the regions of skin affected by psoriasis the skin replace itself within 3-4 days with plenty of immature skin cells forming thick psoriatic patches. According to ayurveda principles the vitiated vata dries the water element of skin and also initiate rapid growth of skin tissue. The vitiated Kapha dosha causes itching on the affected skin. The blood which is affected by vata and kapha adversely influences healing process. Self-care for psoriasis Avoid all factors which trigger psoriasis. Reduce stress levels through meditation and Yoga . Do not prick, peel or scratch skin. This may trigger psoriasis. After bath or wash pat dry the skin. Do not rub the towel vigorously on skin. After washing, pat the skin dry, don’t irritate it by rubbing vigorously. Apply moisturizing creams liberally on affected areas after bath. Opt for cotton clothes over synthetic ones. Ayurvedic tips for Psoriasis 1. Avoid consuming opposite foods. 2. Do not control natural urges like vomiting, urination, bowel emptying etc. 3. Do not take cold water bath immediately after a heavy work out, traveling, a long walk etc. 4. Take care not to consume foods which cause indigestion. 5. Absolutely do not eat too much of salty, sour or acidic foods. 6. Avoid sleeping in afternoons. 7. Say no to radish, urad dal, sesame, jaggery (gur), curds, fish and other sour foods. 8. So how do you market? Whats the most important thing you can do to market? 1. Set clear marketing goals for yourself. 2. Follow up your marketing. If you send a letter via mail, dont stop with just one. Marketing experts advise you to send 6-9 pieces of advertisement before giving up on the recipient. 3. Decide who you want to market to. Are you a realtor who wants to market to homeowners, reminding them of your services? Are you a VA who works with realtors? What is your target market? Once you decide, focus your marketing efforts on your target market. Forget letting every Joe Brown know about your business. Focus on weeding out those who would best benefit from your services, and spend your marketing dollars on them. 4. If you have an advertising budget, research where you are spending your dollars. Who does that magazine or newsletter reach? Make sure it is your target market. 5. Track your advertising pieces. Give each marketing piece a special code your target market needs to use to redeem your offered special. This way you know where each potential client heard of you. If you advertise in a newsletter for 6 months, and never get one bite, then you probably dont want to renew. But if you got 10 new clients, its a safe bet that this is a great place to advertise. 6. Follow up. Follow up is a VERY important piece that many of us fall short on. You get a maybe or when I need your services, Ill call people. Those are warm leads. They have shown interest, so dont let them forget you. Set up a drip email campaign and send them information that they would find useful. This keeps you in their mind, without you becoming annoying. Another great thing, pick up the phone every so often and call them up. Show interest in their business, and they will remember you. Pediatric CI Therapy - An Interview with Dr. Stephanie C. DeLuca

One of those communities is comprised of a professional and highly educated team of PhDs at Alabama University at Birmingham, located in Birmingham, AL. Sharon Ramey, PhD developer and head of research efforts (of Pediatric CI Therapy) with co-researchers, Stephanie C. Deluca, PhD, K. Echols, PhD., Pt. PCS, and E. Taub, PhD. broadened Pediatric CI investigations. Pediatric Constraint-Induced Therapy, (also called Pediatric CI Therapy) was initiated to further advance treatment in children suffering from neuromotor disabilities. Funded by a grant from the Alabama Health Service Foundation, the Pediatric Neuromotor Research Clinic was established and is now being co-directed by Drs. Echols and DeLuca. CI Therapy, also known as “Taub Therapy,” was initially developed by Dr. Edward Taub, Director of Taub Therapy Clinic in Birmingham, AL. A medical innovation that is successful in over 95% of stroke patients in helping regain significant movement, Taub therapy is an effective stroke rehabilitation therapy that consists of restricting the use of unaffected limbs to “rewire” neurons in the brain. To explore Pediatric CI Therapy, I asked Dr. Deluca a few questions about this particular therapy in an informal interview: Q [C.Bailey-Lloyd] Could you explain exactly how the therapy works? A [Stephanie C. DeLuca] The therapy is aimed at children who have asymmetric abilities with their upper extremities because of a lesion within the central nervous system. It involves casting the child’s stronger arm and hand with a lightweight splint which the children wear 24 hours a day for 3 weeks. Children are then treated for 6 hours each day for 21 consecutive days. Q [C. Bailey-Lloyd] What can one expect from this therapy, and on average, how long is treatment necessary? A [Stephanie C. DeLuca] This varies from child to child and is dependent on the child’s incoming abilities. But children routinely develop numerous new motor abilities with the weaker arm and hand. Q [C.Bailey-Lloyd] How long has this treatment been in use and how successful is it? A [Stephanie C. DeLuca] We have been implementing this approach for almost 5 years with approximately 65 children and have seen very dramatic results. But again where children end up is dependent on where they start. Q [C.Bailey-Lloyd] Are there any side effects to this treatment? Please explain A [Stephanie C. DeLuca] In general there have been very few negative side effects. Minor discomfort with relation to the cast but that is usually very transient. Q [C.Bailey-Lloyd] Who utilizes this therapy (in practice) and how widely is it used across the nation? A [Stephanie C. DeLuca] We are the only clinic using the entire protocol that we are aware of. Q [C Bailey-Lloyd] Is this therapy effective on neurological disorders/ diseases other than Cerebral Palsy and Stroke patients? A [Stephanie C. DeLuca] That still needs to be addressed with research. How Do You Flirt? This is How I Succeed Every Time!

By Victor C. If there is one thing that every man (or even woman) has been interested in since they are kids, this is the knowing of how to flirt. Do you remember that pretty girl in your classroom that you wanted to talk to but you didnt know how to start? If there is one person who struggled with girls, thats me. I dont know if you were so desperate that you even wrote down the lines youd tell the girl. Well, I did. I remember that there was this girl I was in love with and I didnt know what to say, so what I did was to write what I was going to say and imagine what would be her answer and then Id write down my response. But you must be asking: Man, how do you flirt? Im not interested in your situation but in mine. Okay, maybe you are not in a situation as bad as mine was but, if you are having problems trying to approach a woman, Ill tell you a couple of techniques that have helped me a lot. In fact, I can tell you that if I like a girl, I can make her feel interested in me and with a little time, if I want to, I could make her my girlfriend. Im not bragging here and Im not calling myself an expert but if Ive been having 100% success rate with my flirting, I think I must know a thing or two, dont you think? Here we go: Technique #1: Make Her Laugh! My friend, if you find ways to make that girl laugh since the beginning you open a world of possibilities. Have you seen the movie Michael with John Travolta? He is supposed to be an angel who comes down to Earth and fix problems. Well, he is trying to make a couple to realize that they are in love with each other. He is always trying to make jokes in he says in one part of the movie this:..You gotta learn to laugh… Its the way to true love That is so true. Just try it and youll get convinced immediately.Ive done it and believe me, it works wonders. I promise if you focus only in finding ways to make a girl laugh, youll have more potential girlfriends than youve ever dreamed of. Technique #2: Dont Show Too Much Interest. Thats right. Women have that sixth sense that tells them when a man is just trying to approach them with sexual intentions. Theres noting bad with that, however if you start by approaching them ONLY to be friends, she will feel that way and will be more open to your conversation. Later, you can invite her out and everything starts from there. If you show too much interest, another thing that might happen is that she could feel so proud that she might decide to have some fun and make it more difficult for you to approach her. My recommendation is that at the beginning you show a lot of interest, tell her how wonderful her eyes are and dont stop talking about her eyes for a few minutes, try to make her laugh talking about her eyes. Then, suddenly ignore her eyes, talk about anything else, dont mention her eyes anymore. This way she will wonder whats wrong with her eyes because minutes ago they were the most important thing in the world for you and all of a sudden, those wonderful eyes are not as beautiful as before. Do you see my point? First, show a lot of interest, and then show indifference. This, my friends, is one of my best tricks. But to start, I strongly recommend that do everything in your power to find ways to make her laugh. That alone will be the key that opens the door to your success with any girl.
